The seller’s silence regarding the existence of prior debts at the time of contract formation—debts which, had the buyer known of them, would have prevented the contract—demonstrates bad faith and an intent to deceive the buyer.

In such a case, the buyer has the option either to await the clearance of the debts or to rescind the contract and claim a refund of the purchase price from the seller.
